Terms of Service

1. Who we are
Apioni is operated by Foo AI Corp., a company based in South Korea ("we", "us"). These Terms are an agreement between you and Foo AI Corp. Questions: contact@apioni.com.
2. What Apioni is
Apioni is a note-taking service you use in your browser. You sign in, and your notes sync to our servers so they are available on every device you use. Notes are kept as plain Markdown, and you can export them at any time. Apioni is offered on a free plan and a paid subscription; the plans and their prices are listed on our pricing page. Our Privacy Policy explains what we store and why.
3. Your license to use Apioni
We give you a personal, non-exclusive, non-transferable right to use Apioni under these Terms. The service and its software (not your notes) belong to us. Don't copy, modify, or reverse-engineer it, except where the law allows it.
4. Plans and billing
The free plan covers writing, keeping, syncing, and searching your notes. A paid plan raises how much AI processing you can run each month. The price, the billing period, and what the plan covers (plus applicable taxes) are shown clearly before you pay — nothing is charged silently.
A paid plan renews for the period you chose until you cancel it, and cancelling stops the next renewal. Your notes are not affected either way: on any plan, and after cancelling, you keep access to everything you wrote and can export it as plain Markdown.
If you are a consumer, you keep any refund and withdrawal rights your local law gives you — for example, statutory withdrawal periods in South Korea and the EU. Nothing in these Terms takes those away.
5. Your account
Your account is for you. Keep your sign-in credentials to yourself and tell us if you think someone else has them. We may suspend an account used to break these Terms or obtained through payment fraud — and if we suspend yours in error, we will restore it and you keep your notes.
6. Your content
Your notes are yours. We claim no ownership of anything you create. When you use cloud sync, we store your notes only to provide the service — you can export them as plain Markdown or delete them at any time.
7. Acceptable use
You agree not to:
- use Apioni for anything illegal;
- probe, attack, or overload the infrastructure that serves our website or the service;
- resell or sublicense access to the service without our written consent.
8. Your notes stay yours — always
You can stop using Apioni at any time. Your notes can be exported as plain Markdown before you go, and deleting your account removes them from our systems. Downgrading to the free plan or cancelling a paid plan never deletes a note and never locks you out of one — what changes is how much AI processing you can run, not what you can read, edit, or export.
9. App changes
We may change or discontinue features as the product evolves. If a change removes something you are paying for, we will tell you before it takes effect. If we discontinue the service entirely, we will give you notice and a window to export everything you wrote as plain Markdown.
10. Disclaimers
We work hard to keep Apioni reliable, but the software is provided "as is", to the extent permitted by law. We don't promise it will be uninterrupted or error-free. Please keep your own copies — you can download any note as plain Markdown from the editor at any time.
Nothing in this section limits warranties or rights that cannot be limited under the law that applies to you.
11. Limitation of liability
To the extent permitted by law, we are not liable for indirect losses (such as lost profits), and our total liability for claims relating to the software is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) USD 50.
These limits do not apply to liability that the law does not allow us to limit — including liability for our intentional misconduct or gross negligence.
12. Changes to these Terms
We may update these Terms. Material changes will be posted here (and noted in the app where relevant) at least 30 days before they take effect. Minor changes take effect when posted with a new "Last updated" date. If you don't agree with a change, you can stop using the software.
13. Governing law and disputes
These Terms are governed by the laws of the Republic of Korea, and disputes will be handled by the competent courts in Seoul, Republic of Korea. If you are a consumer, you also keep the protections of the mandatory laws of the country where you live, and you may bring disputes in your local courts where that law gives you the right. If something goes wrong, please email us first — most issues are fixable.
14. Miscellaneous
If part of these Terms turns out to be unenforceable, the rest still applies. If we don't enforce a part of these Terms right away, we are not giving it up.
